1. Introduction
Omnique Fund Pty Ltd (“the Fund”) is a wholesale investment opportunity providing exposure to Australian development projects, debt funding and precious metal investments.
These Terms and Conditions (“Terms”) govern all investments in the Fund and outline the rights and obligations of Investors and the Fund Manager.
2. Eligibility
2.1. The Fund is available exclusively to Wholesale Investors, as defined under the Corporations Act 2001 (Cth).
2.2. Investors must meet the Wholesale Investor criteria and provide required supporting documentation, including a qualified accountant’s certificate where applicable.
2.3. The Fund is not open to retail investors unless and until it becomes a registered retail
scheme.
3. Investment Structure
3.1. Tokenisation of Units
Units in the Fund may be represented as digital tokens (“Fund Tokens”) on the BT Asset
Hub. Each token reflects an equivalent ownership share in the Fund.
3.2. Minimum Investment
The minimum initial investment is AUD $100,000. Additional investments may be made in increments of AUD $10,000
3.3. BT Asset Hub Interaction
All investor activities—including subscriptions, redemptions, yield payments and performance reporting—are conducted via the BT Asset Hub.
4. Returns
4.1. Development Return
The Fund targets a projected annualised return (as outlined in the Information Memorandum), distributed in accordance with the Fund’s project schedule. Yield payments, when made, are credited to the Investor’s wallet on the BT Asset Hub.
4.2. Capital Growth
The value of Fund Tokens reflects the capital growth of the underlying development portfolio. Capital growth is recorded within the marketplace valuation of Fund Tokens on the BT Asset Hub.
4.3. Token Redemption
Investors may realise capital growth by selling Fund Tokens on the BT Asset Hub marketplace, subject to liquidity and market conditions.
5. Fees and Costs
5.1. Management Fee
An annual management fee of 1% of total assets under management is charged by the Fund Manager.
5.2. Performance Fee
A performance fee of 20% applies to returns exceeding the Fund’s target return profile.
5.3. Other Fees
Administrative, legal, transaction or platform fees may apply. These are detailed in the Information Memorandum.
6. Investment Term
6.1. The minimum investment term is 24 months. 6.2. Early withdrawals are at the discretion of the Fund Manager and may incur exit fees.

8. Reporting and Communication
8.1. Investors will receive performance updates and reporting through the BT Asset Hub.
8.2. Notices and communications will be provided electronically via the BT Asset Hub or email at info@artresidence.au.
9. Redemption and Liquidity
9.1. Redemption Process
Fund Tokens may be sold via the BT Asset Hub marketplace subject to liquidity availability.
9.2. Liquidity Management
The Fund Manager aims to maintain liquidity; however, liquidity is not guaranteed.
10. Fund Manager’s Obligations
10.1. The Fund Manager will manage the Fund’s assets with due care, skill, and diligence.
10.2. The Fund Manager will comply with all applicable laws, regulations, and fund governance requirements.
11. Investor Obligations
11.1. Investors must provide accurate and complete information during the application process.
11.2. Investors must ensure they remain Wholesale Investors unless the Fund transitions to a retail scheme.
12. Limitation of Liability
The Fund Manager is not liable for losses incurred by Investors except in cases of fraud, wilful misconduct, or gross negligence.
13. Amendments to Terms
The Fund Manager may amend these Terms. Any changes will be communicated via the BT Asset Hub.
14. Governing Law
These Terms are governed by the laws of the State of Victoria, Australia. Disputes will be resolved exclusively in NSW courts.
15. Confidentiality
All Investor information is treated confidentially except where disclosure is required by law or authorised by the Investor.
16. Termination of the Fund
The Fund Manager may terminate the Fund in accordance with the Information Memorandum. Investors will be notified of any termination and redemption procedures.
